Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services, software, and platforms ("Services") provided by ShieldPoint Africa Limited ("ShieldPoint," "we," "us," or "our"), a company registered in Kenya.

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Services Overview

ShieldPoint Africa provides AI-powered fraud prevention and detection solutions for financial institutions, including:

  • Real-time transaction monitoring
  • Behavioral analytics
  • Risk scoring
  • Investigation workflow management
  • Compliance reporting

3. Account and Access

You must register for an Account to access the Services. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access

You are responsible for all activities under your Account and for authorizing users who access the Services. Each Authorized User must have a unique login.

4. Customer Data

You retain all ownership rights in your Customer Data. We will process Customer Data:

  • In accordance with our Privacy Policy
  • Compliant with the Data Protection Act, 2019 (Kenya)
  • As described in any applicable data processing agreement

We implement appropriate technical and organizational measures to protect Customer Data. However, you are responsible for maintaining your own backup copies of Customer Data.

5. Payment and Fees

You agree to pay all fees associated with your Subscription as specified in your Order Form or agreement with us. Payment is due within thirty (30) days of invoice date.

  • Fees are exclusive of all applicable taxes
  • Late payments may incur interest at 1.5% per month or maximum permitted rate
  • We may change fees upon thirty (30) days' notice

6. Intellectual Property

ShieldPoint retains all rights, title, and interest in the Services, including all software, algorithms, machine learning models, documentation, and related intellectual property.

You may not copy, modify, create derivative works, reverse engineer, sublicense, or use the Services to develop competing products.

7. Security and Warranties

We implement and maintain:

  • Encryption of data in transit (TLS 1.3) and at rest (AES-256)
  • Access controls and authentication mechanisms
  • Regular security assessments and penetration testing
  • Incident response procedures
  • SOC 2 Type II certification and ISO 27001 compliance

In the event of a security incident affecting your Customer Data, we will notify you within 72 hours of becoming aware of the incident.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid in the preceding 12 months
  • We do not guarantee detection of all fraudulent activities

9. Term and Termination

Your Subscription will automatically renew unless either party provides written notice of non-renewal at least thirty (30) days before the renewal date.

Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within thirty (30) days of notice.

Upon termination, you will have thirty (30) days to export your Customer Data. After this period, we may delete your data.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Before initiating formal dispute resolution, the parties agree to attempt to resolve disputes informally for at least thirty (30) days.

Any dispute not resolved informally shall be resolved by binding arbitration under the Nairobi Centre for International Arbitration rules.
